Vendor Agreement

This Vendor Agreement (“Agreement”) sets out the terms and conditions under which businesses (“Vendors”) may use Zawadi Booking (“Zawadi,” “we,” “us,” or “our”) to list and sell their services. By registering as a Vendor on Zawadi, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy.


1) Eligibility

  • Vendors must be legally registered businesses or individuals authorized to provide the services they list.
  • Vendors must be based in Kenya or otherwise approved by Zawadi.
  • Vendors must provide accurate business and contact details during onboarding.

2) Subscription Plans

  • Vendors must subscribe to one of Zawadi’s paid plans to access marketplace features:
    • Starter Plan – basic access to vendor dashboard, service listings, and booking tools.
    • Pro Plan – advanced features including priority listing, marketing support, and extended analytics.
  • Subscription fees are paid directly to Zawadi.
  • All subscription payments are non-refundable except where required by Kenyan law.
  • Vendors may cancel their subscription at any time, but access will continue only until the end of the paid billing cycle.
  • Zawadi may suspend or terminate vendor accounts for non-payment.

3) Vendor Responsibilities

Vendors agree to:

  • Provide accurate, up-to-date service information, including pricing and availability.
  • Honor confirmed bookings made by clients.
  • Deliver services with reasonable skill, care, and professionalism.
  • Manage cancellations and refunds in accordance with their stated policies and the Cancellation & Refund Policy.
  • Protect client data in compliance with the Kenya Data Protection Act, 2019.
  • Use Zawadi only for lawful purposes and in accordance with this Agreement.

4) Payments

  • Client payments: All client payments via Mpesa or at-store go directly to the vendor. Zawadi does not hold client funds and is not responsible for issuing refunds.
  • Subscription payments: Vendors must pay subscription fees (Starter or Pro) directly to Zawadi to maintain access to platform features.

5) Disputes

  • Clients may file complaints about vendor services through the Dispute Center.
  • Vendors must cooperate with Zawadi in resolving disputes in good faith.
  • Failure to address client complaints may result in suspension or termination of the vendor account.

6) Intellectual Property

  • Vendors retain ownership of their brand names, service descriptions, images, and other content they upload.
  • Vendors grant Zawadi a non-exclusive license to display and promote their content on the platform.

7) Suspension & Termination

  • Zawadi reserves the right to suspend or terminate vendor accounts for:
    • Non-payment of subscription fees.
    • Repeated cancellations or poor service delivery.
    • Breach of this Agreement, the Terms of Service, or applicable laws.
  • Vendors may terminate their account at any time by providing written notice to Zawadi. Subscription fees already paid will not be refunded.

8) Governing Law

This Agreement is governed by the laws of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the Kenyan courts.
